Terms governing access to Model Ledger.

These Terms of Service (“Terms”) form a contract between you and the operator of Model Ledger (“Model Ledger,” “we,” “us”) for use of https://www.modelledger.trade, related dashboards, and APIs (the “Service”). By creating an account, purchasing credits, or calling the API, you agree to these Terms and our Privacy Policy.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Model Ledger provides prepaid platform API credits and related tooling so customers can authenticate with platform API keys and send inference requests through our gateway. We may also offer supplier tooling for authorized parties to host credentials under platform limits.

The Service is a software platform. Model availability, latency, and upstream behavior depend on approved providers and network conditions. We do not claim affiliation with any model vendor unless we expressly state otherwise in writing.

Features marked preview, sandbox, or disabled (including live payments or live upstream routing) may be unavailable or limited. Commercial enablement can change as approvals and risk controls allow.

You must provide accurate account information and keep login methods secure. You are responsible for activity under your account and API keys. Enable multi-factor authentication where offered, especially before submitting supplier credentials or requesting payouts.

Notify us promptly at support@modelledger.trade if you suspect unauthorized access. We may suspend keys or accounts to contain abuse or unpaid risk.

Customers may purchase prepaid credits (“Credits”) for use on the Service. Credits are a limited license to consume platform metering units under these Terms. Credits are not legal tender, stored value wallets for third parties, or transferable property unless we expressly permit a transfer.

Prices, package sizes, and currencies are shown at purchase and on our pricing pages. We may update list prices prospectively; confirmed usage is settled against the price version locked for that request where applicable.

Payment processing for credit purchases may be handled by Creem or another merchant-of-record / payment partner. Their checkout terms and tax handling may apply to the payment transaction. Platform Credits are issued by Model Ledger after payment confirmation.

API usage is metered using request metadata we record (for example model, token counts or equivalents, timestamps, and status). We may reserve balance before dispatch and settle after we obtain usable usage evidence. If upstream outcomes are unknown, requests may enter reconciliation rather than being treated as free usage.

Where supplier earnings apply, the platform service fee is generally 10% of confirmed charged usage and the supplier share is generally 90%, unless a written schedule says otherwise. Supplier payouts are separate from customer checkout and are not Creem marketplace split payouts.

Unused Credits may be eligible for refund according to our refund process and any package-specific terms. Usage already confirmed and settled is generally not refundable as unused Credits.

To request a refund of unused Credits, contact support@modelledger.trade from your account email and include the order or payment reference. Refunds, when approved, are processed through the original payment channel where possible.

Chargebacks or payment disputes may result in account suspension, Credit freezes, and recovery of fees. If you have an issue, contact support before opening a dispute with your bank or payment provider.

You may not use the Service to:

• Violate law, export controls, or third-party rights;
• Probe, disrupt, or bypass security, rate limits, budgets, or authentication;
• Resell platform API keys, share keys publicly, or allow uncontrolled multi-tenant use of a single key;
• Submit supplier credentials you are not authorized to use or host;
• Generate or distribute malware, child sexual abuse material, or content we reasonably deem illegal;
• Misrepresent affiliation with Model Ledger or upstream providers;
• Attempt to reverse engineer non-public parts of the Service except where mandatory law allows.

We may investigate, suspend, or terminate access for violations, with or without prior notice when risk is urgent.

We and our licensors own the Service, branding, documentation, and software. You retain rights in your prompts, outputs, and content, subject to upstream provider terms and any licenses needed for processing. Feedback you provide may be used to improve the Service without obligation to you.

Requests may be processed by upstream model providers or infrastructure vendors under their terms and privacy practices. We do not control their availability, content policies, or retention beyond our contractual and technical controls.

Payment partners (including Creem) process checkout data under their own policies. Links to third-party sites are not endorsements.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT OUTPUTS WILL BE ACCURATE OR SAFE FOR ANY PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODEL LEDGER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO MODEL LEDGER FOR CREDITS IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

You will defend and indemnify Model Ledger against claims arising from your content, your use of the Service, your API keys, or your breach of these Terms, except to the extent caused by our willful misconduct.

You may stop using the Service at any time. We may suspend or terminate access for breach, legal risk, non-payment, or platform integrity reasons. Upon termination, your right to use Credits ends except for unused balances we are required or choose to refund under Section 6.

We may update these Terms by posting a revised version with an updated date. Material changes will be highlighted on the Service or emailed when appropriate. Continued use after the effective date constitutes acceptance, except where mandatory law requires additional consent.

These Terms are governed by the laws applicable in our stated country of tax residence / principal place of business as identified in account or store records, excluding conflict-of-law rules. Courts in that jurisdiction will have exclusive venue, except where mandatory consumer protections require otherwise.
